General Information Regarding These Terms of Use

 

Welcome, and thank you for using the Inside The Box (“we,” “our,” or “us”) services. Unless otherwise noted on a particular site or service, these master terms of use (“Master Terms”) apply to your use of all our apps, sites and interfaces that we operate. The Master Terms also apply to all products, information, and services provided through the Websites and apps. Additional terms: In addition to the Master Terms, your use of any Services may also be subject to specific terms applicable to a particular Service (“Additional Terms”). If there is any conflict between the Additional Terms and the Master Terms, then the Additional Terms apply in relation to the relevant Service.

Your Agreement to the Terms

BY CLICKING “I ACCEPT” OR OTHERWISE ACCESSING OR USING ANY OF THE SERVICES (INCLUDING THE LICENSES, PUBLIC DOMAIN TOOLS, AND CHOOSERS), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE TERMS. By clicking “I ACCEPT” or otherwise accessing or using any Services you also represent that you have the legal authority to accept the Terms on behalf of yourself and any party you represent in connection with your use of any Services. If you do not agree to the Terms, you are not authorized to use any Services. If you are an individual who is entering into these Terms on behalf of an entity, you represent and warrant that you have the power to bind that entity, and you hereby agree on that entity’s behalf to be bound by these Terms, with the terms “you,” and “your” applying to you, that entity, and other users accessing the Services on behalf of that entity.

Changes to the Terms

From time to time, we may change, remove, or add to the Terms, and reserves the right to do so in its discretion. In that case, we will post updated Terms and indicate the date of revision. If we feel the modifications are material, we will make reasonable efforts to post a prominent notice on the relevant app or website and notify those of you with a current account via email. All new and/or revised Terms take effect immediately and apply to your use of the Services from that date on, except that material changes will take effect 30 days after the change is made and identified as material. Your continued use of any Services after new and/or revised Terms are effective indicates that you have read, understood, and agreed to those Terms.

 

Purchase of hardware

Purchase of Inside The Box product

When you buys goods or services on our web site, the Distance Contracts Act (the “Act”) applies. Your full legal rigths, living in Sweden, can be found on the Consumer rights information page. In short – you have the legal right to regret your purchase by any reason if the purchase amount is above 400 SEK and the purchase was done online within 14 days. If you choose to return your products, you are obliged to send back the products in it’s original case, with all items and lock parts intact and fully reusable. The return cost shall be paid by you, and if return slip is provided by us, the return cost will be deducted from the original price at time of repayment.

Make note that other agreements may occur, such as trial periods that has a longer regret period. In any case where the regret and trial period is in conflict with the Act, the agreement and terms at time of purchase shall apply.

This Guarantee is valid for a period of 30 days from the date of delivery of Inside The Box products. The customer must submit any complaints or issues related to the Product before the end of the 30-day Guarantee Period. Resolution Options: If a valid complaint is received within the Guarantee Period, Inside The Box may offer one or more of the following resolution options, at their discretion: a) Repair: We may arrange for the Product to be repaired and/or send spare parts. b) Replacement: We may provide a replacement Product. c) Refund: We may offer a full or partial refund of the purchase price. This Guarantee does not cover issues caused by improper installation, unauthorized modifications, accidental damage, or normal wear and tear.

 

Inside The Box User community

Participating in the Inside The Box Community as a registered Users

You agree to; a) only provide accurate and current information about yourself, (b) maintain the security of your passwords and identification, (c) promptly update the email address and phone number listed in connection with your account to keep it accurate so that use our services in a correct way and also ensure that we can contact you, and (d) be fully responsible for all uses of your account. You are not allowed to share and that way use the Services with others. You must not set up an account on behalf of another individual or entity unless you are authorized to do so.

Participating in the Inside The Box Community as a lock user

Besides the obligations as a User, when you are invited and by other scenarios have permanent access to a lock, you have an obligation to ensure that the lock is correctly installed and if not, take relevant measures to ensure lock security and function. You shall ensure the functioning of the lock, for example change batteries. You shall use the lock as intended and not use the lock for any other purposes than ensure safety around mail and parcels. You are fully responsible for the locked space regarding both security, weather and water protection and areas related to the locked space. Inside The Box will not acknowledge any claims related to the locked space.

Your specific ock hardware obligations, where Guarantee period is no longer applicable, where Inside the box can not be held responsible or have obligations to compensate you for any lock or hardware damage/malfunction:

  • the lock is not properly installed;
  • the locked space is not secured from direct or indirect rain/snow and water and/or that the lock is not installed on a dry surface in a dry space;
  • the lock plastic covers are not correctly in place or not properly sealed in such ways that may add extra moist/water damage;
  • negligence of lock plastic case and/or damage to the covers that is not reported to Inside the box support to get new spare parts according to support recommendations;
  • negligence to undertake service maintenance of lock according to directions given in user manuals and/or otherwise has not complied with our instructions in support dialogue;

Inside the box can not be held responsible for any lock damages or malfunction that can not be related to manufacturing or construction errors. Any replacement, service and/or spare parts shall, if no other agreement is made, be paid by the you.

Participating in the Inside The Box Community as a lock administrator

By registering for an account through our services, represent and warrant that you are the age of majority in your jurisdiction (typically age 18). Services offered to registered users are provided subject to these Terms. If you provide incorrect, incomplete or misleading information or has not complied with these Terms, descriptions or other instructions from Inside The Box, or otherwise caused administrative work or additional costs that go beyond our commitment under these Terms,  Inside The Box is entitled to reimbursement of costs incurred as a result. Examples of such situations are that you have given an incorrect address for the location of the lock.

You as an administrator are fully responsible for the Lock Users accesses and should communicate clearly about any changes in the lock user accesses.

Inside The Box Services

General

Inside the box enables convenient parcel flows to the Users home address. These convenient offers and/or logistic flows, your “Services” are based on our digital lock that enables unattended drop off and pick up of parcels at the Users’ home address.

Service geographical coverage

The Services have geographical restrictions and differences and may not be available in all areas where the lock is sold. Inside The Box is not in any way held responsible for changes in Service area coverage, and changes may occur at any time.

Approval of parcel services

When gaining access to parcel Service, that can be obtained by a Lock Administrator granting access to these Services. This can be done both on own accesses or others. These Services allow you to use the services that is provided in the area of the Lock’s address.

You (and not Inside The Box) shall always be considered a contract counterpart to the sender of the item addressed to the address in respect of the purchase of the goods contained in the item. We accept no responsibility for goods purchased by you. Inside The Box is not liable for damage in the relationship between the receiver, the carrier and the sender of the Shipment. You shall consider harmless from all claims arising directly or indirectly as a result of your use of the Service to any third parties (including the sender of shipment and it’s carrier).

Active lock for parcel services

A lock notifies Inside The Box backend IT system when the lock is connected with a relevant access, through the app, both in background and foreground mode. The connected device sends a short status notice and battery status to our surveillance function. You lock needs to be in contact with us sometimes within a given time period. This to ensure that the lock is still in use and has relevant battery supply.

If Inside The Box does not get any digital update from the lock, Inside The Box will consider the lock as inactive and notify the lock users. If lock stays in inactive mode, Inside The Box has the right to deactivate services that need an ensured lock function; such as parcel services.

Approval of deliveries and pick ups

Some Services may require or allow for active consent of an upcoming deliveries and/or returns, an “Approval”. By actively agreeing to these terms in association to the delivery, you agree that parcels will be handled by the carrier by the Service descriptions provided and the terms stipulated by the carrier. Approvals result in consents that the carrier is allowed access to your lock and open it, with the purpose of picking up or dropping off parcels. The consent is considered as equivalent to a service point ID control check and should be considered as such.

You are fully responsible for reading the relevant documentation (including these Terms) to ensure that you have understood the specific logistic flow and any obligations that must be fulfilled by you. The Approval results in a binding agreement, usually involving a payment transaction, between you as a User and Inside The Box for fulfilment of the Service.

An Approval may also apply to multiple non active running approvals, if the Services that are eligible for such Approval is provided in your area. If by approving on running approvals, Inside The Box have the authority to take actions to approve parcels home to you without your active consent. You are hereby fully aware that these services may be subject charges per parcel/pick up/delivery that shall be paid by any of the selected payment methods provided. The running approval shall be considered with same binding consent and significance as an active Approval

Payment

Payment is made by debiting your registered credit card or other payment methods. Inside The Box reserves the right to also make invoice payment for unpaid Services and orders. Payment by invoice from Inside The Box must be made within 14 days of the invoice date. We cooperate with payment service providers. For information about payment terms for other payment options, please refer to the respective payment service provider or card issuer.

If you do not pay at the right time, we have the right to charge interest on late payments in accordance with Section 6 of the Interest Act (1975:635). We are also entitled to reimbursement of costs for the recovery of the overdue amount. The price of transactions is clearly stated in the app in the case of active consent, and in the case of ongoing consent such as subscription fees, whereupon Inside The Box has the right to make payment for these pre-approved orders of the Services

Inside the box’s responsibilities

Inside the box undertakes to perform the Services in accordance with the relevant product and service descriptions in a professional manner. We shall work in the best interests with due care and consult with you to the extent necessary and possible. If it is found that it is impossible to perform the Service, we shall obtain instructions from you on how to proceed. If the circumstances allow Service to be performed otherwise than as agreed and where we have not been able to reach you within a reasonable time, we shall take the measures that we found most suitable.

Inside The Box’s liability is limited in both terms and responsibilities according to contract and law. In view of the limitations of liability applied by us, we recommend that you undertake an insurance policy covering damage to items and property stored in your locked space, in order to protect the interests of its and any third parties in the event that Inside The Box is not liable for any compensation.

Inside the box shall provide comprehensive online and operational support to answer any questions or unclarities regarding products and services. Support shall be provided during the described working ours and periods. The support function has no obligation to answer any incoming requests in a specific time span, and response time will be defined of specific workload.

Your responsibilities

Inside The Box is not responsible for any damage, loss or delay caused by:

  • customer’s error or negligence;
  • that the Customer has not fulfilled its obligations described in the service descriptions or otherwise has not complied with our instructions;
  • unauthorized use of another user’s account login details;
  • absence or inadequate packaging of service goods;
  • incorrect, unclear or incomplete addressing or marking of the shipment;
  • incorrect or incomplete information about the Shipment or its contents;
  • undeliverable items;
  • malfunction of the lock and the locked space that involves locking, unlocking, opening, placing and closing;
  • the locked space is empty/items interfere with parcel placement and fit in the locked space;
  • parcels and goods that can easily be destroyed due to sensitivity to cold, heat and moisture;

Inside the box are not obliged to compensate for damage caused by the item or property stored in you locked space/mailbox. We are not liable for indirect or consequential damages or theft. We cannot be held responsible for damage in the relationship between the you and third parties (including the carrier).

Parcel content violating Swedish or international law

If carrier or Inside the box has reasons to believe that the delivery item includes goods violates Swedish laws or violation of these Terms , Inside The Box  reserves the right to reject and direct it back to the sender or, where applicable, hand over to a police authorities for further legal actions. The Services may not be used with stolen, dangerous, or inappropriate goods or for goods which legal restrictions apply domestically or for entry into or exit from Sweden

Delivery fulfilment

When the goods are delivered to the locked space/mailbox, the sender and carrier will consider the delivery to be completed and delivered to you. If a delivery can not be fulfilled due to any reason, outside of breach of Swedish law, the item/s shall be moved to a fallback solution of our choice. This can be an additional service point of any other storage solution that ensures the possibility for a remote pick up. If fallback solution has been used, the delivery is considered to be fulfilled when the goods has been handed over to the storage solution and relevant information about the new location of the parcel has been provided to you.

For return, any items that has been picked up from your locked space/mailbox and returned to the sender, the pick up carrier will consider the items to fulfilled when the item has been accepted by the original carrier’s terminal. From that point, the responsibility for the return order is transferred to the Original carrier to fulfil the obligation in returning this to the e-commerce as defined by the return agreement between original carrier and e-commerce company.

Delivery fulfilment will never be based on locking/unlocking or usage of access related to a specific delivery. The parcels physical hand over will be considered as the binding fulfilment.

The carrier has fulfilled its obligations in relation to specific goods, when the goods for transportation has been handed over, regardless of whether this is in the locked box or other agreed/used fallback solution.

Fallback solutions

When a parcel cannot be delivered, the fallback solution will be defined by the carrier. The fallback solution may vary between relocating to nearest service point to leaving parcel at a defined outdoor location. The carrier and Inside The Box will by best effort try to clarify the fallback solution, however the fallback solution may or may not be optional or possible to predefine.

Pick up – your responsibility

Inside The Box enables convenient pick up service for e.g. returns and sending parcels directly from your box, with a one time access that will be provided to the pick up partner. The pick up partner may be the original carrier that provides the main distribution service, or handled by partners on behalf of Inside The Box or the original carrier.

Your responsibility as pick up initiator:

  • follows the instructions and cut off times defined and communicated at point of ordering
  • place the intended goods/parcel for pick up in clear sight for the pick up partner
  • that goods has a proper wrapping according to instructions and to handle the delivery handling
  • pick up parcel/wrapping contains clear id/label that relates to the pick up order, according instructions
  • ensure that the lock and box is working properly, and that the opening possibilities for pick up partner is tested

Any failure in fulfilling the pick up initiator responsibility will result in possible distribution cost without pick up fulfilment

Pickup fulfilment

Pick up partner distribution cover pick up at home address and will be responsible for the route until ordinary return/parcel route can take place. Typically a pick up partner can provide a pick up to the original carrier terminal or service point, and will from that point be legally and physically handed over to the original carrier until reaching end point. If pick up partner is same as carrier, they will be responsible for the end to end delivery.

Pick up – damaged goods

Inside The Box takes no responsibility for damaged or lost goods. However, if it can be proven without reasonable doubt that Inside The Box is responsible for any loss/damage, Inside The Box will compensate you with the amount of the order value. You must provide a clear payment transcript that corresponds with any claimed compensation for the lost goods. Any attempt to claim compensation based on false statements will be seen as fraud attempt and will be met with legal actions.

Inside The Box – service access to your lock

Inside The Box and/or any third party working on behalf of Inside The Box may get access to your box, typically one-time access for maintenance or investigation purposes. Inside The Box has the right to hand out one time accesses to your lock, if considered as necessary for any reason.

General terms of usage

Impersonation or unauthorized access:

You may not impersonate another person or entity, or misrepresent your affiliation with a person or entity when using the Services. You may not use or attempt to use another’s account or personal information without authorization; and You may not attempt to gain unauthorized access to the Services, or the computer systems or networks connected to the Services, through hacking password mining or any other means.

Solicitation

You may not use the Services or any information provided through the Services for the transmission of advertising or promotional materials, including junk mail, spam, chain letters, pyramid schemes, or any other form of unsolicited or unwelcome solicitation.

Disruption

You may not use the Services in any manner that could disable, overburden, damage, or impair the Services, or interfere with any other party’s use and enjoyment of the Services; including by (a) uploading or otherwise disseminating any virus, adware, spyware, worm or other malicious code, or (b) interfering with or disrupting any network, equipment, or server connected to or used to provide any of the Services, or violating any regulation, policy, or procedure of any network, equipment, or server.

Indemnification

To the extent authorized by law, you agree to indemnify and hold harmless Inside The Box, its employees, officers, directors, affiliates, and agents from and against any and all claims, losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting directly or indirectly from or arising out of (a) your violation of the Terms, (b)) your use of any of the Services.

Business use

Inside The Box does not accept any business or commercial usage related to third party products, services or processes that directly or indirectly relates to Inside The Box lock. The lock can’t be used in any construction, services, or brand without our active written consent. However, any purchase of hardware, usage of parcel services or other provided consumer related services, as long as they are not used for commercial purposes, is allowed for business users without any written consent.

Using the Inside the box lock without consent for commercial usage may lead to legal actions.

Inside the box have the right to charge business usage outside normal consumer usage with extra charges. Such charges will be defined and placed on our website. Charges that are not paid in time with lead to legal actions and termination of continued usage of locks and services.

Trademarks

Inside the box’s name, logos, icons, and other trademarks may only be used without an explicitly written consent from authorized staff within the Inside The Box organisation.

Termination of Service, lock and accounts

Inside The Box may modify, suspend, or terminate the operation of, or access to, all or any portion of the Services at any time for any reason. Additionally, your individual access to, and use of, the Services may be terminated by us at any time and for any reason.

By you: If you wish to terminate this agreement, you may immediately stop accessing or using the Services at any time, except during active ongoing orders. See below.

Termination of service with ongoing actions

Any ongoing activities related to the Service will disable the possibility to immediately cancel the account/remove lock if this interfere with fulfilling the ordered Services. Cancellation will be postponed until active Services are fulfilled. For example selecting Inside The Box Services when shopping online means that no cancellation of the account and/or lock can be made until delivery has arrived.

Dispute

Any complaints or claims regarding parcel deliveries must be made directly to the carrier. Any Service provided by inside the box, such as lock access handling etc shall be adressed to the Inside The Box support and any matter will be handled with the other parties best interest in mind when trying to solve any issue.

Any dispute arising out of or relating to these Terms and/or the use of the lock or the Services, which cannot be resolved by negotiation between the parties, shall be settled in Swedish courts in accordance with Swedish law. The dispute may also be considered by the National Board for Consumer Complaints, www.arn.se, whose decision is a recommendation to the parties for how the dispute should be resolved. You may also be entitled to use an EU online dispute resolution (“ODR”) service to assist with any contractual dispute that you may have with us. The European Commission has established its own ODR platform which can be accessed at http://ec.europa.eu/odr

The parties agree that any disputes between Inside The Box and you concerning these Terms, and/or any of the Services may only brought in Swedish court of competent jurisdiction, and you hereby consent to the personal jurisdiction and venue of such court.

Integration

These Master Terms and any applicable Additional Terms constitute the entire agreement between you and Inside The Box relating to this subject matter and supersede any and all prior communications and/or agreements between you and Inside The Box relating to access and use of the Services.

Force majeure

Notwithstanding anything to the contrary contained herein, neither party shall be liable for any delays or failures in performance resulting from acts beyond its reasonable control including, without limitation, acts of god, acts of war or terrorism, shortage of supply, breakdowns or malfunctions, interruptions or malfunction of computer facilities, or loss of data due to power failures or mechanical difficulties with information storage or retrieval systems, labor difficulties or civil unrest. Notwithstanding the foregoing, in the event of such an occurrence, each party agrees to make a good faith effort to perform its obligations hereunder.

Disclaimer of warranties

To the fullest extent permitted by applicable law, inside the box offers the services (including all content available on or through the services) as-is and makes no representations or warranties of any kind concerning the services, express, implied, statutory, or otherwise, including without limitation, warranties of title, merchantability, fitness for a particular purpose, or non-infringement. Inside The Box does not warrant that the functions of the services will be uninterrupted or error-free, that content made available on or through the services will be error-free, that defects will be corrected, or that any servers used by cc are free of viruses or other harmful components. Inside the box does not warrant or make any representation regarding use of the content available through the services in terms of accuracy, reliability, or otherwise.

Limitation of liability

To the fullest extent permitted by applicable law, in no event will inside the box be liable to you on any legal theory for any incidental, direct, indirect, punitive, actual, consequential, special, exemplary, or other damages, including without limitation, loss of revenue or income, lost profits, pain and suffering, emotional distress, cost of substitute goods or services, or similar damages suffered or incurred by you or any third party that arise in connection with the services (or the termination thereof for any reason), even if Inside The Box has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, inside the box is not responsible or liable whatsoever in any manner for any content posted on or available through the services (including claims of infringement relating to that content), for your use of the services, or for the conduct of third parties on or through the services.
